Terms and Conditions
Please read these Terms and Conditions (“Terms”) carefully before placing an order on our portal. By accessing this website or confirming an industrial purchase order, your organization (“Buyer”) agrees to be legally bound by these Terms under the laws of the People’s Republic of Bangladesh.
LEGAL STATUS AND BUYER ELIGIBILITY
- B2B Restrictions Only: This website is exclusively a Business-to-Business (B2B) platform. We do not sell to retail consumers or the general public.
- Mandatory Documentation: To complete a registration or order, the Buyer must provide valid corporate credentials, including a valid Trade License, Business BIN (Business Identification Number), and where applicable, IRC (Import Registration Certificate) clearance or specific industrial authorization from the Directorate General of DGFI / Department of Environment (DoE) if handling controlled substances.
- Right to Cancel: We reserve the absolute right to cancel any order immediately without liability if the Buyer fails to verify their corporate legitimacy.
PRICE, TAXES, AND IMPORT DUTIES
- Pricing Exclusions: Unless explicitly stated otherwise in writing, all listed prices for imported Cleaning Agent (e.g., ZOK 27) and specialized power plant spare parts are quoted in Bangladeshi Taka (BDT).
- Duties and VAT: Prices listed online exclude AIT (Advance Income Tax), VAT (Value Added Tax), and any specific customs/regulatory duties levied by the National Board of Revenue (NBR) at the port of entry, unless stated as a DDP (Delivered Duty Paid) contract.
- Currency Fluctuations: Because goods are fully imported, prices are pegged to international supply rates. We reserve the right to adjust unfulfilled quotes if currency exchange rate fluctuations between BDT and foreign currencies (USD/EUR/GBP) shift by more than 2% prior to order confirmation.
ORDER CONFIRMATION AND PAYMENT TERMS
- Digital Commerce Compliance: In accordance with the Digital Commerce Operation Guidelines of Bangladesh, an online order constitutes an “Offer to Buy.” A binding contract is only formed when we issue a formal Proforma Invoice (PI) or written Order Confirmation.
- Payment Advance: Due to the high-value nature of specialized imported machinery parts and Cleaning Agent, dispatch will only occur upon 100% bank clearance of funds via Bank Transfer, EFT, or an irrevocable Letter of Credit (L/C), unless explicit corporate credit limits have been authorized via an offline signed agreement.
HAZARDOUS MATERIALS (HAZMAT) AND DELIVERY TERMS
- Incoterms and Risk Transfer: Unless otherwise agreed, all local deliveries within Bangladesh are made on an Ex-Warehouse or CIP (Carriage Insurance Paid) to Destination basis. Risk of loss or damage passes to the Buyer the moment the vehicle leaves our authorized warehouse facility.
- Regulatory Transit Compliance: Chemical transportation is subject to the environmental safety laws of Bangladesh. Delivery timelines are estimates only. We are not liable for transit delays caused by hazardous cargo checks, customs clearance processing at Chattogram Port / Hazrat Shahjalal International Airport, or government-imposed highway restrictions.
- Delivery Inspection: The Buyer must inspect chemical drums, seals, and part packaging immediately upon arrival. Any shortage, structural defect, or leak must be reported to us in writing with photographic evidence within 48 hours of receipt, failing which the delivery will be deemed completely and unconditionally accepted.
PRODUCT USE, WARRANTIES, AND STORAGE LIMITATIONS
- Authorized Distribution: We warrant that we hold the legal import, distribution, and dealership rights for the specialized Cleaning Agent (including ZOK 27 Gas Turbine Compressor Cleaner) and power plant components sold on this platform.
- Pass-Through Warranty: We provide no independent commercial warranty. We pass through the exact shelf-life, performance, and material warranties provided directly by the international manufacturer.
- Voiding of Warranty: All product performance warranties are instantly voided if the Cleaning Agent or parts are stored, mixed, applied, or disposed of in violation of the product’s official Material Safety Data Sheet (MSDS) or technical operating manuals. The Buyer assumes all responsibility for training their engineering staff on safe handling.
ABSOLUTE LIMITATION OF LIABILITY
- Financial Cap: To the maximum extent permitted under the Bangladesh Contract Act, 1872, our total aggregate liability for any single claim, breach, or defect arising out of an order shall never exceed the total net amount actually paid by the Buyer to us for that specific order.
- Exclusion of Consequential Loss: Under no circumstances shall we be liable for any indirect, incidental, or consequential damages. This includes, without limitation, power plant shutdowns, generation downtime, loss of electricity revenues, environmental pollution fines, grid penalties, or facility damages resulting from the use or delayed delivery of our products.
FORCE MAJEURE
- We shall not be held liable or responsible for any failure to perform our obligations if prevented by circumstances beyond our reasonable control. This includes acts of God, port strikes, custom clearance delays, political blockades (Hartals or Obrodhs), international supply chain disruptions, manufacturing export bans, changes in Bangladesh import policy orders, or pandemic restrictions.
GOVERNING LAW AND DISPUTE RESOLUTION
- Jurisdiction: These Terms are governed by, and construed in accordance with, the laws of the People’s Republic of Bangladesh.
- Arbitration: Any dispute, controversy, or claim arising out of or relating to these purchases shall first be attempted to be resolved amicably through corporate mediation. If mediation fails, the dispute shall be settled by binding arbitration in Dhaka, Bangladesh, in accordance with the Bangladesh Arbitration Act, 2001. The language of the arbitration shall be English.
CANCELLATION, RETURN, AND REFUND POLICY (CUSTOM-IMPORTED GOODS)
Applicability: This policy applies strictly to all high-value, fully imported industrial Cleaning Agent (including ZOK 27), customized machinery components, and specialized power plant spare parts that are ordered specifically for the Buyer as well as our regular, uncommitted local warehouse stock.
- CANCELLATION RESTRICTIONS FOR CUSTOM-IMPORTED ORDERS
- The “Point of No Return”: Once an order has been confirmed and we have initiated the import procurement process—defined as either (a) opening a Letter of Credit (L/C) with our partner banks, (b) making an advance foreign remittance to the international manufacturer, or (c) scheduling specialized international freight—the order cannot be canceled, altered, or amended by the Buyer under any circumstances.
- Pre-Procurement Cancellations: If a Buyer requests a cancellation before we have initiated the import procurement steps listed above, the cancellation will be subject to a written review. If approved, a minimum 15% administrative and banking processing fee (calculated against the total order value) will be deducted from any advance payment before a refund is issued.
- NON-RETURNABLE NATURE OF INDUSTRIAL GOODS
- No Change-of-Mind Returns: Due to strict international supply chains, shelf-life limitations of industrial chemical compounds, and custom technical specifications for power plant parts, we do not accept returns or exchanges based on a change of mind, order duplication by the Buyer, or plant project delays. All custom-imported sales are final.
- Storage and Abandonment Fee: If a custom-imported shipment arrives safely at our local warehouse or port of entry in Bangladesh, and the Buyer fails or refuses to take physical delivery or clear the remaining balance within 14 calendar days of notification, the Buyer will be charged a mandatory warehousing and demurrage fee of 1% of the total invoice value per day. If delivery is not taken within 45 days, the order will be deemed legally abandoned, the contract will be terminated, and all advance payments made by the Buyer will be permanently forfeited to cover procurement costs.
- EXCEPTIONS FOR DEFECTIVE, DAMAGED, OR NON-CONFORMING GOODS
Returns, replacements, or refunds will only be evaluated under the following highly specific conditions:
- Reporting Window: The Buyer must inspect the shipment immediately upon arrival at their facility. Any structural damage to chemical containers (leaks, broken seals) or incorrect part specifications must be reported to our customer service portal within 48 hours of delivery, accompanied by formal photographic evidence, batch numbers, and a signed delivery-rejection report.
- Verification Process: We reserve the right to deploy our technical engineers to the power plant site or facility to inspect the alleged defect or chemical non-conformity.
- Remedy Allocation: If the defect or shipping error is verified to be our fault or the manufacturer’s fault:
- We will first attempt to provide a replacement shipment from the manufacturer at our own expense as fast as import timelines allow.
- If a replacement is legally or logistically impossible within a reasonable timeframe, we will issue a Refund or Credit Note equivalent only to the value of the damaged or defective portion of the goods.
- REFUND PROCESSING AND TIMELINES
- Approved Refunds: In the event that a partial or full refund is legally approved by our corporate board, processing will be handled via banking channels in accordance with the Bangladesh Bank (Central Bank) regulations.
- Timeline: Approved refunds will be disbursed within 30 to 45 business days from the date of formal written approval. This timeline accounts for the reversal of letters of credit, customs duties settlements, and local commercial bank processing times. We are not liable for any interest or currency exchange losses incurred during this waiting period.
